近年來，台灣工業電腦廠商興起併購和策略聯盟趨勢。產業發展變化，為台灣工業電腦廠商之主要外部併購動機。工業物聯網及產業互聯網的趨勢，以及5G行動通信技術發展，各式智慧應用的興起，使得工業電腦廠商需要更深度和產業客戶的應用整合。為掌握各個垂直市場的領域專業知識，促使廠商透過外部併購、入股或結盟等方式，以強化競爭力及擴大營運規模。本研究探討台灣工業電腦廠商透過多次併購達到營收規模的快速擴張，透過個案公司之財務績效指標分析，可看出其市場成長能力、成本、稅前純益佔實收資本額比率、及現金周轉能力等績效之提升，不過其他面向之財務績效尚不顯著。研究結果發現，其併購更重要的策略意涵在於再造商業模式，有利於掌握工業物聯網和產業互聯網發展的垂直整合應用商機。個案公司後續的營運及發展重點在於整合集團及各技術資源以發揮綜效，並強化在智慧工廠及工業物聯網的策略藍圖佈局。研究結果除了做為併購活動對經營及財務績效之影響的實證，並供經營者欲採取外部併購以追求企業成長之參考。

In recent years, the trend of M&A has been initiated among IPC manufacturers in Taiwan. The development and migration of the industry is the main external M&A motivation for Taiwanese IPC manufacturers. Industrial IoT and industrial Internet trends, 5G mobile communication technological development, and the emergence of various smart applications have increased the IPC manufacturers’ need for more in-depth industrial client application integrations. In order to grasp the domain knowledge of various vertical markets, manufacturers have been encouraged to strengthen their competitiveness and expand business scale through M&A or alliances. In this study, the case company has achieved rapid expansion in revenue scale through multiple M&A. The financial performance indicator analysis shows the case company’s enhanced market growth capabilities, costs, pre-tax income to paid-in capital ratios, and CCC performances, while the financial performance in other aspects are not significant. The research results show that a more important strategic implication of M&A lies in reinventing the business model to get hold of business opportunities from the vertical integration and applications of industrial IoT and industrial Internet development. The future operation and development focus of the case company lies in integrating the group and various technological resources to achieve synergetic effects, as well as strengthening the strategic blueprint for industrial IoT and smart manufacturing. The results of this research are considered as empirical evidence of the impact of M&A activities on business and financial performance, and also references for business proprietors intending to adopt M&A in the pursuit of corporate growth.
